By accessing or using the ePeople Suite platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including administrators, managers, and employees accessing the platform.
ePeople Suite is a cloud-based HR management platform that provides payroll processing, employee management, leave tracking, performance reviews, document management, and workforce analytics. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
To use the Service, you must create an account and provide accurate, complete information. You are responsible for: • Maintaining the confidentiality of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized access or security breach We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.
Access to the Service requires a paid subscription after the initial 7-day free trial period. By subscribing, you agree to: • Pay all fees associated with your selected plan • Provide accurate billing information • Accept that fees are non-refundable except as expressly stated in our Refund Policy We may change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance of the new pricing.
You agree not to: • Use the Service for any unlawful purpose or in violation of any applicable laws • Upload or transmit malicious code, viruses, or harmful content • Attempt to gain unauthorized access to any part of the Service or its infrastructure • Interfere with or disrupt the Service or servers connected to it • Use the Service to store or process data in violation of data protection regulations • Reverse engineer, decompile, or disassemble any part of the Service • Resell, sublicense, or redistribute the Service without written permission
You retain ownership of all data you upload to or create within the platform ("Your Data"). By using the Service, you grant us a limited licence to process Your Data solely for the purpose of providing the Service. All intellectual property rights in the Service — including software, design, trademarks, and documentation — belong to Enterprise Resources Ltd. Nothing in these Terms transfers any IP rights to you beyond the limited right to use the Service as described herein.
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR where applicable. We act as a data processor on your behalf and will: • Process data only as instructed by you • Implement appropriate technical and organizational security measures • Assist you in responding to data subject requests • Notify you of any data breach without undue delay For full details, please refer to our Privacy Policy.
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and shall not be liable for: • Scheduled maintenance (with advance notice) • Force majeure events beyond our reasonable control • Issues caused by your internet connection or third-party services We will use commercially reasonable efforts to resolve service disruptions promptly.
To the maximum extent permitted by law: • Our total liability for any claims arising from or related to the Service shall not exceed the fees you paid in the 12 months preceding the claim • We shall not be liable for indirect, incidental, special, consequential, or punitive damages • We shall not be liable for loss of data, profits, revenue, or business opportunities These limitations apply regardless of the legal theory on which the claim is based.
You agree to indemnify and hold harmless Enterprise Resources Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any applicable law or regulation • Any data you upload or process through the Service
Either party may terminate the subscription: • You may cancel at any time through your account settings; access continues until the end of the current billing period • We may terminate or suspend your account immediately if you breach these Terms Upon termination, we will make Your Data available for export for 30 days. After this period, we will delete Your Data in accordance with our data retention policies.
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Enterprise Resources Ltd is incorporated. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.
We may update these Terms from time to time. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
